1. PRIVACY POLICY

Local Web Toolkit respects the privacy of their Local Web Toolkit users. We do not disclose or sell user account information to third parties. Your email will be used only to notify you about Local Web Toolkit related updates and news.
Local Web Toolkit will not monitor, edit, or disclose the contents of a user's website unless obliged to do so by law or if such action is necessary to:
(i) protect and defend the rights or property of Local Web Toolkit
or
(ii) fix or debug problems with the Local Web Toolkit software/service.

 

2. DISCLAIMER OF WARRANTIES
As User of the service you agree that the use of the service is at Users sole risk. The service is provided on an "as is" and "as available" basis. Local Web Toolkit disclaims all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement.


Local Web Toolkit makes no warranty that the service will meet your requirements, or that the service will be uninterrupted, timely, secure, or error-free. Nor does it make any warranty as to the accuracy or reliability of any information obtained through this service or that defects in the software will be corrected. You understand that any material/data downloaded or otherwise obtained through this service is done at your own risk and that you will be solely responsible for any damage to your computer system or loss of data that results in such a download.


No advice or information, either oral or written, obtained by you from Local Web Toolkit shall create any warranty not expressly stated herein.

 

3. LIMITATION OF LIABILITY, INDEMNIFICATION
Local Web Toolkit shall not be liable for:
(i) Any direct, indirect, incidental, special or consequential damages, resulting from the use or the inability to use the service.
(ii) Cost of procurement of substitute goods and services or resulting from any goods or services purchased or obtained or messages received or transactions entered into through this service.
(iii) Unauthorized access to or alteration of Member's transmissions or data, including but not limited to damages or loss of profits.
(iv) Statements or conduct of any third party on the service.

You shall indemnify, defend and hold Steph Daigle Design or Local Web Toolkit and its affiliates and their officers, directors, employees, shareholders, agents, affiliates, licensors and subcontractors harmless from any claim, costs, losses, damages, liabilities, judgments and expenses (including reasonable attorneys’ fees), arising out of or in connection with any claim, action or proceeding (collectively, "Claims") arising out of or related to any act or omission by you in using the Site or any product or Service ordered via the Site including but not limited to your violation of the Agreements terms of use or policies found on the Site or infringement of any third party proprietary rights by you.


4. PROPRIETARY RIGHTS
You agree that Local Web Toolkit as a service and software contain proprietary and confidential information that is protected by applicable intellectual property, trademark and other laws. Except as expressly authorized by Steph Daigle Design, you agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Local Web Toolkit service and software in whole or in part.
As User you agree to the following:
(i) As User of the service you own the copyright to all the text, content and images included in your website.
(ii) Local Web Toolkit is a proprietary software and the back-end development code is not available to the User.
Note: If as User you decide to terminate your services with Steph Daigle Design and Local Web Toolkit, it is your responsibility as the User to copy all your text, content and images before you terminate your services. You will not be able to copy your website structure and layouts due to the Local Website Toolkit is a proprietary software


5. HOSTING SERVICES

Local Web Toolkit Hosting Services are based on Annual Plans, and are non-refundable from date of transaction.
If a Hosting Service has already been performed, then it is non-refundable.


6. HOSTING FEES

Local Web Toolkit Hosting Services are based on Annual Plans, and are non-refundable. All sales are final.
Plan 1 (Premium - 2GB data storage) - Hosting Fees are: $360.00 + HST = $414.00 per year, and will be billed yearly thereafter.

Plan 2 (Standard - 500MB data storage) - Hosting Fees are: $120.00 + HST = $138.00 per year, and will be billed yearly thereafter.
Note: If payment has not been received within 30 days of the date of the Hosting Invoice, it could result in deactivation of your account.
All data from your website will be deleted and your account terminated.


Once you are on one of our paid Annual Plans, you will be billed annually until you cancel. You can cancel anytime.

7. REFUND POLICY & SALES TERMS

All Local Web Toolkit Hosting Services are paid plans that are year to year. And are non-refundable. All sales are final.


8. TRANSFER OF OWNERSHIP

1) It is the responsibility on the User to make transfer of ownership to the new User.
2) It is the responsibility on the User to make transfer of Local Web Toolkit Hosting Services by contacting Steph Daigle Design with the new User’s billing information. 3) Local Web Toolkit shall not be liable for:
(i) Any information conducted, transferred or shared between the existing User and the new User.
(ii) Domain Name ownership, Domain Name Registration, Domain Name Renewal or Domain Name Ownership Transfer.
Note: If the User has transferred ownership to a new User, it is the responsibility of the new User maintain ownership thereafter.


9. DOMAIN NAME, DOMAIN NAME REGISTRATION & DOMAIN NAME RENEWAL

It is the responsibility on the User to register (his or her) Domain Name with their Registrar. (ex: GoDaddy.com, NameCheap.com, etc.)
It is the responsibility on the User to renew (his or her) Domain Name with their Registrar. (ex: GoDaddy.com, NameCheap.com, etc.)


10. TRADEMARKS
Local Web Toolkit and LocalWebToolkit.com are trademarks of Steph Daigle Design. All other mentioned trademarks are owned by their respective owner.


11. LAWS
The Local Web Toolkit Terms of Use shall be governed by and construed in accordance with the laws of Canada and the United States.
