1. ACKNOWLEDGMENT AND ACCEPTANCE OF TERMS OF USE

Please read these Terms of Use (“TOU�) carefully as they govern your access and use of this website (“Site�) and the products and services provided herein (“Service� or “Services�). These TOU are in addition to (not in lieu of) any specific terms and policies that apply to the Services you purchase or access through the Site, which terms and policies are incorporated herein by reference. The TOU and specific terms and policies referenced herein are collectively the “Agreement�.

The Local Web Toolkit Terms of Use and Local Web Toolkit Legal Statements comprise the entire agreement between the Local Web Toolkit Users and Steph Daigle Design, unless otherwise indicated.


We reserve the right to make changes to the Site, the Services and these TOU at any time without prior notice to you. You should therefore review these TOU each time you access this Site to keep apprised of these changes. If you do not agree to the changes implemented by Steph Daigle Design your sole and exclusive remedy is to terminate your relationship with us as a customer of the Services. Unless explicitly stated otherwise, any new features or products that change, augment or enhance Steph Daigle Design’s Service offerings will be subject to this Agreement.


2. DESCRIPTION OF SERVICE. MODIFICATIONS TO SERVICE
Local Web Toolkit provides users with various web publishing and content management services, including but not limited to the ability to create and maintain a web page as well as the hosting services for this webpage. In order to use the service users should provide for own access to internet and pay any service fees associated with such access.


Local Web Toolkit reserves the right to change the terms of service and hosting fees for paid Users within a 30 day notification period.


3. USERS OBLIGATIONS AND CONDUCT
Each user bears the sole responsibility for the content published on their Local Web Toolkit website. Local Web Toolkit does not control the content posted via the service and, as such, does not guarantee the accuracy or quality of such content and cannot be held responsible for it. Use of the service is subject to all applicable local, state, national and international laws and regulations as well as to internet-specific policies and procedures.

User agrees:
(i) not to use the service for illegal purposes;
(ii) not to publish any material that is unlawful, harassing, abusive, threatening, offensive, vulgar, obscene, harmful, libelous, invasive of another's privacy or constitutes an infringement of third party intellectual property rights.
(iii) not to interfere with or disrupt in any way the service including servers and networks connected to the service;
(iv) not to interfere with another user's enjoyment of the service.


User should indemnify and hold Local Web Toolkit and their subsidiaries, affiliates, officers and employees, harmless from any claim or demand made by any third party due to or arising out of user's conduct, violation of these Terms of Use by user, or the infringement by user of any intellectual property or other right of any person or entity.


Local Web Toolkit may, at their sole discretion, terminate the service should a user's conduct fail to conform to these terms and conditions.
 
4. USER ACCOUNTS AND SECURITY
Users are entirely responsible if they do not maintain the confidentiality of their password and account, as well as of password protected areas of their sites. Users are entirely responsible for any and all activities which occur under their account.


Users agree to immediately notify Local Web Toolkit of any unauthorized use of their account or any other breach of security known to user.
 
5. CONTENT OWNERSHIP
Users retain copyright ownership and all related rights for materials published on their Local Web Toolkit website.

6. STORAGE AND OTHER LIMITATIONS
Local Web Toolkit reserves the right to automatically clean assets exceeding the storage limit, after sending an email notification for exceeding the limit and failure on the part of the user to take subsequent action to clean the surplus assets or alternatively request an upgrade of the account. Local Web Toolkit assumes no responsibility for the deletion or failure to store information entered into the Local Web Toolkit.
 
7. NOTICE AND TERMINATION OF SERVICE

Either Local Web Toolkit or the user may terminate use of the Service with or without cause at any time and effective immediately. Local Web Toolkit shall not be liable to users or any third party for termination of the service. Upon termination, user's right to use the service and the related software ceases immediately.


8. SALES TERMS
Local Web Toolkit Hosting Services are based on Annual Plans, and are non-refundable. All sales are final.
Plan 1 (Premium - 2GB data storage) - Hosting Fees are: $360.00 + HST = $414.00 per year, and will be billed yearly thereafter.

Plan 2 (Standard - 500MB data storage) - Hosting Fees are: $120.00 + HST = $138.00 per year, and will be billed yearly thereafter.
Note:
If payment has not been received within 30 days of the date of the Hosting Invoice, it could result in deactivation of your account.
All data from your website will be deleted and your account terminated.


Once you are on one of our paid Annual Plans, you will be billed annually until you cancel. You can cancel anytime.

All notices shall be in writing and shall be made either by publication or via email. Local Web Toolkit may publish notices on this website (External link opens in new tab or windowhttp://LocalWebToolkit.com) to inform users of changes to the service, Terms of Use, or other important procedures; such postings shall constitute notice to users.
